Agreement to Terms

By creating an account, accessing the stÖkd Dashboard, or using any services provided by STOKD STRATEGY LLC ("stÖkd," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Services Description

stÖkd provides a social media analytics platform (the "Dashboard") and related strategic consulting services, including but not limited to:

• The stÖkd Forensic Dashboard (SaaS product) with proprietary weighted metrics
• Social performance analytics across Meta (Instagram, Facebook, Threads), LinkedIn, and other platforms
• OAuth-based social account connections for automated data ingestion
• CSV data upload for platforms without direct API integration
• The Forensic Audit & Strategic Roadmap (one-time analyst-led engagement)
• Ongoing metrics subscriptions with optional strategic add-ons

Account & Access

When you create a stÖkd account, you are assigned a unique access identifier. You agree to:

• Provide accurate and complete information during registration
• Maintain the security and confidentiality of your account credentials and access ID
• Notify us immediately of any unauthorized access to your account
• Not share, transfer, or sell your account access to any third party
• Use our services only for lawful business purposes

Free Trial

We may offer a 14-day free trial of the Dashboard. During the trial period:

• No credit card is required to start
• You will have access to core Dashboard features
• At the end of the trial, your access will be suspended unless you subscribe to a paid plan
• We reserve the right to modify or discontinue the free trial at any time

Subscription & Payment Terms

Paid services are billed as follows:

• Subscriptions: Billed automatically on a recurring monthly basis via Stripe
• One-time engagements: Billed at the time of purchase (e.g., the Forensic Audit)
• Failed payments: A valid payment method must be on file. Failure to process payment may result in immediate suspension of Dashboard access until the balance is resolved
• Price changes: We will provide at least 30 days notice before any subscription price increase takes effect

Cancellation & Refunds

• Subscriptions: You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid billing cycle. No prorated refunds are issued for partial months
• One-time engagements: Non-refundable once work has commenced or deliverables have been provided
• Free trial: You may cancel at any time during the trial at no cost

Intellectual Property

What you own: All reports, strategic analyses, written recommendations, and data exports created specifically for you under any engagement ("Deliverables") are intended to be works made for hire as defined under 17 U.S.C. § 101. To the extent any Deliverable does not qualify as a work made for hire under applicable law, stÖkd irrevocably assigns to you all right, title, and interest in that Deliverable.

What we own: stÖkd retains all ownership of its technology, algorithms, scoring methodologies (SBI, Resonance Score, Impact Score), AI engines, dashboard software, and all pre-existing intellectual property. None of these are transferred to you under any circumstances. You receive a non-exclusive, non-transferable, revocable license to use these tools for your internal business purposes during your active subscription or engagement. This license terminates immediately upon cancellation or expiration.

You may not:

• Reverse-engineer, copy, or redistribute our scoring methodologies or proprietary metrics
• Resell or sublicense access to the Dashboard or any stÖkd tools
• Use our materials to build a competing product or service

Your Data — Ownership & How We Use It

You retain full and exclusive ownership of all underlying social media data, platform analytics, audience insights, and content performance data that you connect to or upload into the Dashboard ("Your Data"). stÖkd holds no ownership interest in Your Data.

We process Your Data solely to deliver the analytics services you subscribed to. We will never use Your Data to:

• Train, improve, or benchmark our AI models or scoring systems
• Compare your performance against other clients or use it for competitive benchmarking
• Disclose to any third party, except authorized service providers bound by equivalent data protection obligations
• Any purpose outside of performing the services you requested

Your Data stored in our systems (Google BigQuery) is logically isolated from all other clients via Row-Level Security (RLS) policies. No other client or stÖkd employee can access your data outside of what is strictly necessary to deliver your service. Your Data is retained for a maximum of 90 days after the end of your engagement or subscription, then permanently and irreversibly deleted. You may request early deletion at any time by contacting hello@stokesstrategy.com; we will complete deletion within 30 days and confirm in writing.

Data Processing Roles (GDPR/CCPA): You act as the Data Controller (or "Business" under CCPA/CPRA) and stÖkd acts solely as a Data Processor (or "Service Provider" under CCPA/CPRA). We process only what you authorize, only for the purposes you've authorized. Upon request, we will execute a Data Processing Addendum (DPA) incorporating Standard Contractual Clauses for compliant international data transfers.

Social Platform Data & OAuth Connections

When you connect social media accounts to the Dashboard via OAuth (e.g., Meta, LinkedIn):

• You authorize stÖkd to access your public profile information and content performance data
• We access only the permissions you explicitly grant during the OAuth flow
• You may disconnect any social account at any time from within the Dashboard
• We do not post, modify, or delete any content on your social media accounts without your explicit action

Confidentiality

Both parties agree to hold all non-public information of the other party in strict confidence and use it only to perform obligations under this agreement. We will not disclose your proprietary business information, analytics data, or social performance data to third parties without your written consent, except as required by law or to authorized service providers who are bound by equivalent confidentiality obligations.

Disclaimers & Limitation of Liability

Our services are provided "as is" without warranties of any kind. stÖkd makes no guarantees regarding specific quantitative outcomes (e.g., revenue increase, follower growth, viral engagement) as these are subject to market variables.

We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Disruptions, algorithm changes, or API failures caused by third-party platforms (e.g., Meta, LinkedIn, X, TikTok)
• Temporary service interruptions or data delays

Limitation of liability: Our total liability under these terms shall not exceed the total fees paid by you to stÖkd in the three (3) months preceding the claim.

Indemnification

You agree to indemnify and hold STOKD STRATEGY LLC harmless from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

Modifications to Services

We reserve the right to modify, update, or discontinue any aspect of the Dashboard or our services at any time. We will provide reasonable notice of material changes. Continued use of the service after changes constitutes acceptance of the updated terms.

Governing Law

These Terms of Service are governed by the laws of the State of New Mexico, United States. Any disputes arising under these terms shall be resolved in the courts located in Bernalillo County, New Mexico.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Changes to Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on this page and updating the "Last updated" date. For active subscribers, we will also notify you via email.
